1. GENERAL INFORMATION
The b2b.colby.si online store ("B2B Portal") is operated and managed by:

(hereinafter referred to as "Colby", "we", "us", or the "Provider").
These General Terms and Conditions govern the use of the B2B Portal, the ordering of products and the commercial relationship between Colby and registered business customers.
The B2B Portal is intended exclusively for business customers, including companies, sole traders, organisations and other legal or natural persons purchasing products in connection with their business or professional activity.
It is not intended for purchases made by consumers for purposes outside their trade, business, craft or profession.
By registering for an account, accessing the B2B Portal or placing an order, the customer confirms that they are acting in a professional or business capacity and agrees to these General Terms and Conditions.
2. B2B CUSTOMER ACCOUNT
Access to certain information, including individual B2B prices and ordering functionality, may be limited to registered and approved business customers.
Colby reserves the right to verify the information submitted during registration and to approve, reject, suspend or terminate access to a B2B account where reasonably justified.
The customer is responsible for:

providing accurate and complete company information;

keeping company, billing and delivery information up to date;

maintaining the confidentiality of account login credentials;

ensuring that persons using the account are authorised to place orders on behalf of the company.
Orders placed through a customer's account are considered to have been placed by an authorised representative of that customer unless otherwise demonstrated.
3. PRICES
Unless expressly stated otherwise, all B2B prices displayed on the B2B Portal are expressed in EUR and exclude VAT.
Where a recommended retail price (RRP/SRP) is displayed, it is intended for informational purposes and may include VAT depending on the market and presentation of the product.
Applicable VAT and other taxes will be calculated in accordance with applicable legislation and displayed where appropriate.
Product prices do not include shipping, delivery or other additional charges unless expressly stated otherwise.
Customers may be assigned individual prices, discounts or commercial conditions based on their contractual relationship with Colby.
Prices displayed after the customer has logged in may therefore differ between customers.
Prices and commercial conditions may be changed without prior notice. The price applicable to an order is generally the price confirmed by Colby when the order is accepted.
Pricing errors
Colby makes reasonable efforts to ensure that all product, pricing and availability information is accurate and up to date.
However, technical, administrative or human errors may occur.
If a displayed price is clearly incorrect or substantially deviates from the intended price due to an obvious technical or human error, Colby reserves the right to reject or cancel the affected order.
In such a case, the customer will be informed and any amount already paid for the cancelled items will be refunded.
4. PRODUCT INFORMATION AND AVAILABILITY
Product descriptions, images, specifications, availability information and expected delivery dates are provided for informational purposes.
Colby makes reasonable efforts to ensure that such information is accurate but does not guarantee that all information is complete or error-free at all times.
Product images may be symbolic or illustrative. Minor differences in packaging, appearance or specifications that do not materially affect the functionality of the product may occur.
Stock and availability information displayed on the B2B Portal may change before an order is processed and confirmed.
Products shown as available for pre-order, incoming, backorder or similar status are subject to availability from suppliers and manufacturers.
Expected availability and delivery dates are estimates unless explicitly confirmed otherwise.
5. PLACING AN ORDER
The customer places an order electronically through the B2B Portal.
After submitting an order, the customer receives an electronic acknowledgement that the order has been received.
The automatic acknowledgement of receipt does not constitute final acceptance of the order.
Colby will review the order, including product availability, applicable pricing, payment conditions and delivery information.
The purchase agreement is concluded when Colby confirms the order and the customer receives an Order Confirmation or another explicit confirmation that the order has been accepted.
Until such confirmation has been issued, Colby reserves the right to reject or modify an order for justified reasons.
6. ORDER ACCEPTANCE AND CHANGES
After receiving an order, Colby may verify:

product availability;

applicable B2B pricing;
-
payment terms;
-
delivery details;
-
quantities ordered;
-
credit limits or outstanding obligations;
-
other agreed commercial conditions.
If an ordered product is unavailable or the expected delivery time changes significantly, Colby may contact the customer and propose:
-
a revised delivery date;
-
an alternative product;
-
partial fulfilment of the order;
-
removal of the affected product from the order; or
-
cancellation of the order.
Where the customer has already paid for goods that cannot be supplied and the relevant part of the order is cancelled, Colby will refund the corresponding amount.
Unless otherwise expressly agreed, estimated delivery dates do not constitute guaranteed delivery deadlines.
7. PAYMENT TERMS
Available payment methods may depend on the individual customer's account, contractual relationship and credit terms.
7.1 Payment by pro forma invoice / advance payment
When payment by pro forma invoice is selected, the customer must settle the amount before the goods are dispatched.

The customer must include the payment reference specified on the pro forma invoice or offer.
Goods will generally be dispatched after the payment has been received and recorded.
Any bank or payment processing charges imposed by the customer's payment provider are borne by the customer.
7.2 Deferred payment / contractual payment terms
Customers with approved credit terms may pay within the payment period agreed with Colby or specified on the issued invoice.
Individual credit limits and payment terms may apply.
If the customer fails to meet agreed payment obligations, Colby reserves the right to suspend further deliveries, withdraw deferred payment terms or require advance payment for future orders.
7.3 Payment by debit or credit card
Where card payment is available, the customer may pay for the order using the supported debit or credit cards displayed during checkout.
The order will be processed following successful payment authorisation.
Availability of individual payment methods may vary between customers and markets.
8. DELIVERY
Available shipping methods, delivery costs and estimated delivery times are displayed during the ordering process where applicable.
Delivery times are estimates unless otherwise expressly agreed in writing.
Colby is not responsible for delays caused by circumstances outside its reasonable control, including delays by carriers, suppliers, manufacturers, customs authorities or other third parties.
Partial deliveries may be made where reasonably necessary unless otherwise agreed.
The customer is responsible for providing complete and accurate delivery information and for ensuring that the shipment can be accepted at the specified delivery address.
9. INSPECTION OF GOODS AND CLAIMS
The customer must inspect the delivered goods within a reasonable period after receipt and notify Colby without undue delay of:

visible transport damage;
-
incorrect quantities;
-
incorrect products;
-
visible defects; or
-
other discrepancies relating to the delivery.
Where possible, visible damage to transport packaging should also be recorded with the carrier at the time of delivery.
Claims regarding defective products, warranty claims and returns will be handled in accordance with applicable legislation, manufacturer warranty conditions and any separately agreed commercial terms between Colby and the customer.
Nothing in these Terms limits any rights that cannot legally be excluded or restricted.
10. RETURNS
Products ordered through the B2B Portal are purchased in the course of the customer's business activity.
Therefore, consumer rights relating to withdrawal from distance contracts do not automatically apply to purchases made through the B2B Portal.
Returns of correctly supplied and non-defective products are subject to prior approval by Colby and may be governed by separately agreed return conditions.
The customer should contact their Colby representative or customer support before returning any products.
11. LIMITATION OF LIABILITY
To the extent permitted by applicable law, Colby shall not be liable for indirect or consequential loss, loss of profit, loss of business, loss of revenue or other commercial loss arising from the use of the B2B Portal, delayed delivery or inability to supply a particular product.
Colby shall not be liable for failure or delay in performing its obligations where this results from circumstances beyond its reasonable control.
Nothing in these General Terms and Conditions excludes or limits liability where such exclusion or limitation is prohibited by applicable law.
12. DATA PROTECTION AND PRIVACY
Colby d.o.o. processes personal data in accordance with applicable data protection legislation, including the General Data Protection Regulation (GDPR) and applicable Slovenian personal data protection legislation.
Personal data relating to customer representatives and users of the B2B Portal may be processed for purposes including:

creation and administration of B2B accounts;

verification of business customers;

processing and fulfilment of orders;
-
invoicing and payment administration;
-
delivery and logistics;
-
customer service;
-
handling warranty and other claims;
-
prevention of fraud and misuse;
-
compliance with legal and accounting obligations;
-
management of the commercial relationship between Colby and the customer.
Marketing communications will be sent where permitted by applicable law and, where required, on the basis of the recipient's consent.

13. DISCLOSURE OF PERSONAL DATA
Colby may disclose personal data to third parties where this is necessary for the operation of the B2B Portal or fulfilment of orders, including payment providers, logistics providers, IT service providers and other authorised processors or partners.
Personal data may also be disclosed where required by applicable law, a competent authority, court or other legally authorised body, or where necessary for the establishment, exercise or defence of legal claims.

Colby will endeavour to acknowledge and process complaints within a reasonable period and will keep the customer informed where additional time or information is required.
Both parties shall endeavour to resolve disputes amicably and in good faith.
15. GOVERNING LAW AND DISPUTE RESOLUTION
These General Terms and Conditions and all commercial relationships arising from the use of the B2B Portal shall be governed by the laws of the Republic of Slovenia, unless otherwise agreed in writing or required by mandatory applicable law.
The parties shall first attempt to resolve any dispute through negotiation.
If an amicable resolution cannot be reached, disputes shall be submitted to the competent court in the Republic of Slovenia, subject to any separately agreed jurisdiction provisions between Colby and the customer.
16. CHANGES TO THESE TERMS
Colby reserves the right to amend these General Terms and Conditions from time to time.
The version applicable to an individual order is the version in effect at the time the order is placed, unless otherwise agreed.
The current version is available at b2b.colby.si.
17. FINAL PROVISIONS
If any provision of these General Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall remain in effect.
Any individual contractual terms agreed in writing between Colby and a customer shall take precedence over these General Terms and Conditions in the event of a conflict.
